SUNDOWN FIGHTS INC. ("Company," "SUNDOWN," "we," "our," or "us") operates live combat sport exhibitions, cultural events, media productions, livestreams, merchandise sales, and related digital platforms and services (collectively, the "Services").

By attending a SUNDOWN event or participating in any Service, you grant Company the irrevocable, perpetual, worldwide, royalty-free right to:

Attendance and participation are entirely at your own risk.
Livestreams, replays, and on-demand content ("Digital Content") are licensed, not sold, for personal, non-commercial use only.

Digital Content is provided "as-is" and "as-available."
No refunds for interruptions, technical issues, or broadcast quality.
All Digital Content is owned by Company or its licensors.
Company may sell merchandise ("Merch") online, at events, or through third-party platforms.
Merch is provided as-is, without warranties of any kind, express or implied.
All sales are final, unless explicitly stated otherwise.
Company is not responsible for:
Total liability shall not exceed the purchase price paid.
All logos, designs, footage, trademarks, slogans, and content are the exclusive property of Company or its licensors. No ownership rights are granted.
Company may terminate access, revoke tickets, cancel livestream access, or remove any person at its sole discretion for violations of these Terms or safety concerns.
Company operates globally and makes its Services available internationally.

All rights granted to Company under these Terms — including media, likeness, IP, and content rights — are granted on a worldwide, perpetual, irrevocable basis, across all media now known or later developed.
You represent that you are not subject to U.S. sanctions or export restrictions and will not use the Services in violation of applicable export laws.
For international purchases:
Nothing in these Terms limits rights that cannot be waived under applicable consumer protection laws. Otherwise, these Terms apply to the fullest extent permitted by law.
These Terms are written in English.
In the event of any translation, the English version controls.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Any dispute shall be resolved by binding arbitration on an individual basis.
You waive the right to participate in any class action, to the fullest extent permitted by law.
If any provision is held unenforceable, the remaining provisions remain in full force and effect.
These Terms constitute the entire agreement between you and Company regarding events, livestreams, merchandise, and Services.
